BUSINESS AND CORPORATE LAW

Hunt & Jeppson, LLP provides a wide range of services within the business and corporate law areas, and our attorneys will be pleased to assist you as well.

Entity Selection and Formation

Selection of an entity that is most appropriate for a business venture is, of course, crucial to getting every business off on the right foot. A thorough knowledge the various types of business entities, their suitability for particular types of ventures, the potential tax implications of each, and the formalities that must be followed in order to maintain the integrity of the entity is necessary before selecting the business that is most appropriate for you. The attorneys at Hunt & Jeppson, LLP assist clients in identifying the business structure that best suits each particular business, meets your personal goals and needs, and functions as you would like.

When you have selected the business entity appropriate for you, Hunt & Jeppson, LLP will form the entity for you, prepare all of the minutes and resolutions necessary to open bank accounts, provide you with share certificates and registers and virtually everything else necessary to operate your new entity. We will also counsel you about and help you to comply with securities laws, and give you a short primer in properly maintaining your business entity in the years to come. Corporations

In addition to forming your corporation, Hunt & Jeppson, LLP will assist you with operating your corporation on an on-going basis. Most small businesses require (or should have) agreements that establish the “deal” between the shareholders—agreements that cover a wide range of operational issues and the on-going relationship among the owners. Limited Liability Companies (LLC's)

Limited Liability Companies are relatively new in the California business world, and we find that many businesses operate as LLCs, despite the fact that it may not be the best business entity form for your business. In addition to forming your limited liability company, Hunt & Jeppson, LLP will be pleased to discuss whether the LLC is the most appropriate form for your business. We will also assist you in preparing functional Operating Agreements, the indispensable document that sets forth the business “deal” between the LLC’s members.

Partnerships

Purchases and Sales

Properly drafted and reviewed contracts and agreements are indispensable parts of doing business.
